Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Verified.us.com ("Service", "Platform", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICE.

Eligibility

To use our Service, you must:

• Be at least 18 years of age
• Have the legal authority to represent the business seeking verification
• Operate a legitimate business registered in the United States
• Provide accurate, complete, and truthful information
• Maintain a valid email address and phone number

By submitting a verification application, you represent and warrant that you meet these eligibility requirements.

Verification Services

Service Description

Verified.us.com provides business verification services to confirm the legitimacy of US-based companies. We offer three verification tiers:

• Basic Verification - $59/year: Business registration verification, US physical address verification, linked profile, and verification badge
• Enhanced Verification - $99/year: All Basic features plus comprehensive compliance checks, phone verification, email domain verification, and enhanced badge
• Premium Verification - $249/year: All Enhanced features plus advanced fraud detection, priority verification (5-7 days), dedicated account manager, premium badge, and marketing materials

Verification Process

Our verification process includes:

1. Submission of comprehensive business information and supporting documents
2. Payment of applicable verification fee
3. Review by our verification team (typically 5-7 business days for Premium, 10-14 days for Basic/Enhanced)
4. Approval or rejection notification
5. If approved: badge generation and public listing

No Guarantee of Approval

Payment of the verification fee does not guarantee approval. We reserve the right to reject any application that does not meet our verification standards or raises fraud concerns. See our Refund Policy for information about refunds for rejected applications.

Payment Terms

Fees and Billing

All verification fees are charged annually and must be paid in full before verification review begins. Payments are processed securely through Stripe.

Renewal

Verifications are valid for one (1) year from the approval date. You will receive renewal reminders 30 days before expiration. Renewal requires payment of the current annual fee for your verification tier.

Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect active verifications until renewal. We will provide 30 days' notice of any price changes.

Taxes

All fees are exclusive of applicable federal, state, and local taxes. You are responsible for payment of all applicable taxes.

User Obligations

Accurate Information

You agree to:

• Provide accurate, current, and complete information during the verification process
• Update your account information promptly if it changes
• Notify us immediately of any material changes to your business (address, ownership, legal status)
• Submit authentic, unaltered documents
• Maintain a physical US business address (no P.O. boxes)

Prohibited Conduct

You agree NOT to:

• Submit false, misleading, or fraudulent information
• Impersonate another person or business
• Submit forged or altered documents
• Apply for verification on behalf of a non-existent business
• Use the verification badge without active, approved verification
• Modify, alter, or misrepresent the verification badge
• Engage in any activity that could damage our reputation or Service
• Attempt to circumvent our verification process
• Use automated systems to access our Service without permission

Verification Badge Usage

License Grant

Upon approval, we grant you a limited, non-exclusive, non-transferable license to display the Verified.us.com badge on your website, marketing materials, and business documentation, subject to these Terms.

Badge Requirements

When displaying the badge, you must:

• Use the badge exactly as provided (no modifications, alterations, or recreations)
• Link the badge to your verification page on Verified.us.com
• Remove the badge immediately upon verification expiration or revocation
• Not use the badge in any way that implies endorsement of specific products or services
• Not use the badge in connection with unlawful or fraudulent activities

Badge Revocation

We reserve the right to revoke your badge license at any time if you violate these Terms or if we discover fraudulent information in your application.

Verification Suspension or Revocation

We may suspend or revoke your verification at any time if:

• You violate these Terms of Service
• We discover false or fraudulent information in your application
• Your business registration is suspended or revoked
• You fail to renew your verification
• You fail to update material changes to your business information
• Your business engages in illegal or fraudulent activities
• You misuse the verification badge

In the event of revocation for cause, no refund will be provided.

Intellectual Property

Our Property

All content, features, and functionality on Verified.us.com, including but not limited to text, graphics, logos, badges, icons, images, software, and design, are the exclusive property of Verified.us.com and are protected by copyright, trademark, and other intellectual property laws.

Trademarks

"Verified.us.com" and related logos and verification badges are trademarks of Verified.us.com. You may not use our trademarks without prior written permission, except as expressly permitted under the badge license.

Your Content

By submitting information, documents, or content to us, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content for the purpose of providing verification services and displaying verified business information publicly.

Disclaimers and Limitations of Liability

Service "As Is"

OUR SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

No Guarantee

We do not guarantee:

• That our Service will be uninterrupted, timely, secure, or error-free
• The accuracy, reliability, or completeness of any content or information
• That verification will prevent all fraud or protect against all malicious actors
• Any specific business outcomes or increased sales from verification

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIFIED.US.COM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Verified.us.com, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of any third-party rights
• False or fraudulent information you provided
• Your misuse of the verification badge
• Any content or information you submit to us

Privacy

Your use of our Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your information.

Termination

We reserve the right to suspend or terminate your account and access to our Service at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Inactivity
• Request by you

Upon termination, your right to use the Service and display the verification badge will immediately cease.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Informal Resolution

Before filing a claim, you agree to contact us at legal@verified.us.com to attempt to resolve the dispute informally.

Arbitration

Any dispute arising from or relating to these Terms or your use of our Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except as otherwise provided herein. The arbitration will be conducted in Texas, and judgment on the arbitration award may be entered in any court having jurisdiction.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending email notification for significant changes

Your continued use of the Service after changes become effective constitutes your acceptance of the modified Terms.

Miscellaneous

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Verified.us.com regarding your use of our Service.

No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
